Welcome to Grouper. These Terms of Service ("Terms") govern your access to and use of Grouper's website, services, and applications (collectively, the "Services"). Please read these Terms carefully before using our Services.
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.
1. Account Registration and Security

Our Services allow you to create, upload, and share content, including sign-up sheets, events, and comments ("User Content"). You retain ownership of your User Content, but you grant Grouper a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content for the purpose of providing and improving our Services.
You are solely responsible for your User Content and agree not to post content that:
- Violates any applicable law or regulation
- Infringes on intellectual property rights of others
- Contains malware, viruses, or harmful code
- Is offensive, abusive, harassing, or promotes discrimination
- Impersonates another person or misrepresents your affiliation
- Constitutes unauthorized advertising or solicitation
3. Intellectual Property Rights
The Grouper platform, including its logo, design, text, graphics, interfaces, and code, is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works based on our Services without express permission from Grouper.
4. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You specifically agree not to:
- Use the Services in any way that violates applicable laws or regulations
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Attempt to gain unauthorized access to any part of the Services
- Use any robot, spider, or other automated means to access the Services
- Collect or harvest user data without permission
- Use the Services for any commercial purpose without our consent
5. Termination of Service
Grouper reserves the right to suspend or terminate your access to the Services at any time for any reason without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.
6. Disclaimers and Limitations of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND. GROUPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
7. Indemnification
You agree to indemnify, defend, and hold harmless Grouper and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.
8. Modifications to Terms and Services
Grouper reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
We may also modify, suspend, or discontinue any part of the Services at any time without notice or liability.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
10. Miscellaneous
These Terms constitute the entire agreement between you and Grouper regarding your use of the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
